The actual EDSI VMS software platform is governed by a separate SaaS Agreement, which takes precedence over these Terms for paying subscribers.
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

4. Intellectual Property
All content on the Site — including the "EDSI VMS" and "Equine Data Systems" names, logos, screenshots, copy, comparison tables, code samples, and design elements — is owned by Equine Data Systems Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws. You receive no license to this content except as expressly granted in these Terms.
Third-party product names mentioned on the Site (such as ezyVet, ThoroVet, AVImark, Cornerstone, QuickBooks, Stripe, Twilio, Supabase, SendGrid, Vercel) are trademarks of their respective owners. References to such products are for comparison, integration, or factual identification purposes only and do not imply any affiliation, sponsorship, or endorsement.
5. Demo Requests and Communications
When you contact us via email or phone to request a demo or information, you consent to receive return communication at the email address or phone number you provided. We will use that information to respond to your inquiry and may follow up with related material about the product. You may opt out of follow-up at any time by replying "stop" or telling us during a call. Transactional responses to your specific request are not subject to opt-out.

The Site may link to third-party websites or reference third-party products. We are not responsible for the content, accuracy, privacy practices, or terms of any third-party site or product. 8. Limitation of Liability
Our total cumulative liability for any claim arising out of or related to the Site will not exceed one hundred U.S. dollars ($100). For paying subscribers, the liability provisions in the SaaS Agreement govern the EDSI VMS software service itself.
9. Indemnification
You agree to defend, indemnify, and hold harmless Equine Data Systems Inc. and its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your misuse of the Site, or your violation of any law or third-party right.
10. Changes to These Terms
We may revise these Terms from time to time. The "Last updated" date at the top of this page will reflect the most recent revision. Material changes will also be announced on the Site or by email to active subscribers. Your continued use of the Site after revisions take effect constitutes acceptance of the updated Terms.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Burlington County, New Jersey, and the parties consent to personal jurisdiction in those courts.
You and EDSI agree that any claim must be brought within one (1) year after the claim arose, or be forever barred. You waive any right to a jury trial and to participate in any class action arising out of or related to these Terms.
12. Miscellaneous
- Entire agreement: These Terms constitute the entire agreement between you and EDSI regarding the Site, and supersede all prior or contemporaneous communications and proposals concerning the Site.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
- No waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure: Neither party is liable for delay or failure caused by events beyond reasonable control, including acts of God, war, terrorism, riots, pandemics, embargoes, internet outages, or governmental actions.
